By creating an account, purchasing a subscription, or using the Awaken OS platform, you agree to these Terms. If you do not agree, you must stop using the service immediately.
1. THE SERVICE
1.1 The Platform. Awaken OS is a proprietary automation and CRM environment built upon the HighLevel software infrastructure. Your subscription grants you access to this software, along with our custom configurations, snapshots, and templates. 1.2 B2B Service. This is a business-to-business service intended for entrepreneurs, coaches, and creators. It is not intended for consumer use.
2. SUBSCRIPTIONS & PAYMENTS
2.1 Fees. You agree to pay the fees associated with your selected subscription plan (Monthly or Annual/Founder). Payments are processed securely via Stripe. 2.2 Automatic Renewal. All subscriptions automatically renew at the end of their billing cycle. You must cancel before your renewal date to avoid future charges. 2.3 Refund Policy.

30-Day Guarantee: You may request a full refund within 30 days of your initial purchase for any reason.

Standard Policy: After 30 days, payments are generally non-refundable. We do not offer refunds for "change of mind" or lack of usage.

Exception: If we terminate your service for convenience (as per Clause 10.3), you will receive a pro-rata refund.
3. THE 30-DAY MONEY-BACK GUARANTEE
3.1 The Guarantee. If you are not satisfied with Awaken OS for any reason, you may request a full refund within 30 calendar days of your initial purchase. 3.2 How to Claim. To claim a refund, email support@awaken.digital before the 30-day window expires. 3.3 Effect of Refund. If you claim this refund, your account will be immediately terminated and all data deleted.
4. FOUNDER PRICING & RENEWALS
4.1 Grandfathered Rates. If you subscribed under a "Founder Deal" or "Annual" promotion, your renewal rate is locked at the price you originally paid for as long as your subscription remains active. 4.2 Loss of Rate. If your subscription is cancelled, refunded, or fails payment and lapses, you forfeit your grandfathered rate.
5. USAGE-BASED BILLING (THE WALLET)
5.1 Not Included in Subscription. Your monthly or annual fee covers access to the software only. It does not cover the telecommunications costs for sending emails, SMS, making calls, or using AI features. 5.2 Monthly Credit. Your subscription may include a complimentary monthly credit (e.g., $21.00 USD). This credit resets monthly and does not roll over. 5.3 Overage. Any usage beyond your complimentary credit is charged to your payment card on file via the "Wallet" system. 5.4 Rates. Usage rates are subject to change based on carrier costs.
6. SUPPORT SERVICES
6.1 Premium Support Channels. Your subscription includes access to our Premium Support Suite, provided by our managed partners. Depending on your plan, this may include:

Email Help Desk: For complex queries.

Zoom Onboarding: (If applicable to your specific offer). 6.2 Scope of Support. Support is limited to technical platform assistance (e.g., "How do I build a workflow?", "My domain isn't connecting"). It does not include strategic business coaching, marketing advice, or "Done-For-You" implementation. 6.3 Sustainability of Support. We are committed to providing high-level support. However, you acknowledge that specific support channels (such as 24/7 Live Chat) are provided subject to commercial viability. We reserve the right to modify the support method (e.g., transitioning to email-only tickets) with 30 days' notice. This does not affect your access to the software itself.
7. INTELLECTUAL PROPERTY
7.1 Your Data. You own all data, content, leads, and customer information you upload to the platform. 7.2 Our IP. Awaken Digital owns the specific "Snapshots," templates, workflows, and system configurations provided to you. You are licensed to use them while your subscription is active.
8. ACCEPTABLE USE & MESSAGING (A2P 10DLC)
8.1 Compliance. You agree to comply with all applicable laws regarding marketing, including the CAN-SPAM Act and TCPA. 8.2 SMS Registration. To send SMS messages to US numbers, you must register your brand via the Trust Center inside the platform (A2P 10DLC). 8.3 Prohibited Content. You may not use the platform to send spam, scams, hate speech, or engage in illegal activities.
9. DISCLAIMERS & LIMITATION OF LIABILITY
9.1 "As Is" Service. Awaken OS is provided "as is" and "as available." 9.2 Liability Cap. To the maximum extent permitted by law, Phoenix Rising International LLC's liability for any claim related to this agreement is limited to the amount you paid us in the one (1) month period preceding the event giving rise to the claim.
10. TERMINATION & SERVICE DISCONTINUATION
10.1 Cancellation by You. You may cancel your account at any time via the billing settings. 10.2 Termination for Cause. We may terminate your account immediately without refund if you violate these Terms (e.g., sending spam, abusive behavior). 10.3 Termination for Convenience (Service Discontinuation).

Right to Discontinue: We reserve the right to discontinue the Awaken OS service or terminate your specific subscription for any business reason (including but not limited to commercial viability) by providing you with 30 days' written notice.

Pro-Rata Refund: If we terminate an Annual or Founder subscription under this clause, we will issue a pro-rata refund for the unused portion of your subscription term. (e.g., If you paid for 12 months and we terminate at Month 6, we will refund 50% of your payment).

Transition Assistance: In the event of service discontinuation, we will provide instructions on how to migrate your account directly to HighLevel (the underlying platform provider) or export your data, ensuring minimal disruption to your business.
11. GOVERNING LAW
This Agreement is governed by the laws of the State of Wyoming. Any disputes shall be resolved exclusively in the state or federal courts located in Wyoming.
