TERMS OF SERVICE (AWAKEN OS)

Awaken Digital ("Awaken OS", "we", "us", or "our") is a trading name and service provided by Phoenix Rising International LLC.

By creating an account, starting a free trial, purchasing a subscription, or using the Awaken OS platform, you agree to these Terms. If you do not agree, you must stop using the service immediately.
 

1. THE SERVICE
 

1.1 The Platform. Awaken OS is a proprietary automation and CRM environment built upon the HighLevel software infrastructure. Your subscription grants you access to this software, along with our custom configurations, snapshots, and templates.
 

1.2 B2B Service. This is a business-to-business service intended for entrepreneurs, coaches, and creators. It is not intended for consumer use.
 

2. FREE TRIAL, SUBSCRIPTIONS & PAYMENTS
 

2.1 Free Trial. New subscribers receive a 14-day free trial with full platform access. A valid payment method is required to start your trial. You will not be charged during the trial period.
 

2.2 Trial Cancellation. You may cancel at any time during your 14-day trial. If you cancel before the trial ends, you will not be charged. Your account will be deactivated at the end of the trial period.
 

2.3 Conversion to Paid Subscription. If you do not cancel before the end of your 14-day trial, your subscription will automatically convert to a paid plan and your payment method will be charged on Day 15.
 

2.4 Subscription Plans. We offer the following subscription options:

  • Monthly: $97 USD per month, billed monthly

  • Annual: $970 USD per year, billed annually (save $194)
     

2.5 Automatic Renewal. All subscriptions automatically renew at the end of their billing cycle (monthly or annually). You must cancel before your renewal date to avoid future charges.
 

2.6 Promotional Discounts. Promotional discounts, where offered, apply to the first payment only and do not affect renewal pricing.
 

2.7 Refund Policy.
 

  • During Trial: Cancel anytime during your 14-day trial at no charge. No refund is necessary as no payment has been taken.
     

  • After Trial: Once your subscription begins and payment is processed, fees are non-refundable. We do not offer refunds for cancellation, change of mind, or lack of usage. You have a full 14-day free trial to evaluate the platform before any charge occurs.
     

  • Exception: If we terminate your service for convenience (as per Clause 9.3), you will receive a pro-rata refund for any unused portion of an annual subscription.
     

3. LEGACY PRICING
 

3.1 Grandfathered Rates. If you subscribed under a "Founder Deal" or promotional pricing prior to December 2025, your renewal rate remains locked at the price you originally paid for as long as your subscription remains active and in good standing.
 

3.2 Loss of Rate. If your subscription is cancelled, refunded, or fails payment and lapses, you forfeit your grandfathered rate. Reactivation will be at the current standard pricing.
 

4. USAGE-BASED BILLING (THE WALLET)
 

4.1 Not Included in Subscription. Your monthly or annual fee covers access to the software only. It does not cover the telecommunications costs for sending emails, SMS, making calls, or using AI features.
 

4.2 Monthly Credit. Your subscription includes a complimentary monthly credit of $21.00 USD toward usage costs. This credit is available during your free trial and continues once you become a paying subscriber. The credit resets at each billing cycle and does not roll over to the next month.
 

4.3 Overage. Any usage beyond your complimentary credit is charged to your payment card on file via the "Wallet" system. Your card will be automatically charged when your wallet balance requires replenishment.
 

4.4 Rates. Usage rates are determined by our underlying providers and are subject to change based on carrier and provider costs. Current rates are displayed within the platform.
 

5. SUPPORT SERVICES
 

5.1 Support Channels. Your subscription includes access to our support resources, which may include:
 

  • Email Help Desk: For technical queries (support@awaken.digital)

  • Knowledge Base: Self-service tutorials and documentation

  • Onboarding Resources: Video guides and templates to help you get started
     

5.2 Scope of Support. Support is limited to technical platform assistance (e.g., "How do I build a workflow?", "My domain isn't connecting"). It does not include strategic business coaching, marketing advice, copywriting, or "Done-For-You" implementation services.
 

5.3 Modifications to Support. We are committed to providing helpful support. However, you acknowledge that specific support channels are provided subject to commercial viability. We reserve the right to modify support methods with 30 days' notice. This does not affect your access to the software itself.
 

6. INTELLECTUAL PROPERTY
 

6.1 Your Data. You own all data, content, leads, and customer information you upload to the platform. You retain full ownership of your business information at all times.
 

6.2 Our IP. Awaken Digital owns the specific "Snapshots," templates, workflows, and system configurations provided to you. You are licensed to use them while your subscription is active.
 

7. ACCEPTABLE USE & MESSAGING (A2P 10DLC)
 

7.1 Compliance. You agree to comply with all applicable laws regarding marketing, including the CAN-SPAM Act and TCPA.
 

7.2 SMS Registration. To send SMS messages to US numbers, you must register your brand via the Trust Center inside the platform (A2P 10DLC).
 

7.3 Prohibited Content. You may not use the platform to send spam, scams, hate speech, or engage in illegal activities.
 

8. DISCLAIMERS & LIMITATION OF LIABILITY
 

8.1 "As Is" Service. Awaken OS is provided "as is" and "as available."
 

8.2 Liability Cap. To the maximum extent permitted by law, Phoenix Rising International LLC's liability for any claim related to this agreement is limited to the amount you paid us in the one (1) month period preceding the event giving rise to the claim.
 

9. TERMINATION & SERVICE DISCONTINUATION
 

9.1 Cancellation by You.
 

  • During Trial: You may cancel at any time during your 14-day trial via the billing settings. No charge will occur.
     

  • After Trial: You may cancel your paid subscription at any time via the billing settings. For monthly plans, your access continues until the end of your current billing period. For annual plans, your access continues until the end of your annual term.
     

9.2 Termination for Cause. We may terminate your account immediately without refund if you violate these Terms (e.g., sending spam, abusive behavior, fraudulent activity).
 

9.3 Termination for Convenience (Service Discontinuation).
 

  • Right to Discontinue: We reserve the right to discontinue the Awaken OS service or terminate your specific subscription for any business reason (including but not limited to commercial viability) by providing you with 30 days' written notice.
     

  • Pro-Rata Refund: If we terminate an Annual subscription under this clause, we will issue a pro-rata refund for the unused portion of your subscription term. (e.g., If you paid for 12 months and we terminate at Month 6, we will refund 50% of your payment).
     

  • Transition Assistance: In the event of service discontinuation, we will help you migrate your account directly to HighLevel (the underlying platform provider) or export your data, ensuring minimal disruption to your business.
     

10. GOVERNING LAW
 

This Agreement is governed by the laws of the State of Wyoming. Any disputes shall be resolved exclusively in the state or federal courts located in Wyoming.
